Terms of Service

Introduction

These Terms of Service ("Terms") govern the submission of any referral for independent medical evaluation services ("IME") or case management solutions (collectively, "Services") by you ("Client") to Leidos QTC Health Services ("Leidos QTC”) formerly known as IMX Medical Management Services and First Rehabilitation Resources (FRR). By submitting a referral to Leidos QTC, Client accepts and agrees to be bound by these Terms, which constitute a binding agreement between Client and Leidos QTC. Notwithstanding the foregoing, in the event of any conflict between these Terms and any separately executed written agreement between Client and Leidos QTC, the terms of such executed agreement shall control.

1. Scope of Services

Leidos QTC provides independent medical examinations conducted by qualified professionals and case management solutions tailored to the needs of the referred individual. Leidos QTC reserves the right to decline any referral at its sole discretion.

2. Medical Disclaimer

The services provided by Leidos QTC, including IMEs and case management, are for evaluative purposes only. These services do not establish a physician-patient relationship and are not a substitute for professional medical advice, diagnosis, or treatment from the referred individual's own healthcare providers. The information and assessments provided through our services should not be used to make personal medical decisions. 

Leidos QTC and its contracted professionals do not provide medical treatment or prescribe medication as part of these services. We do not assume responsibility for any decisions made based on the results of our services.

3. Fees and Payment

3.1 Fees for services will be communicated to the Client upon receipt of the initial referral, at scheduling, or upon scheduling confirmation, as applicable. 

3.2 Unless specifically agreed otherwise in writing, payment is due within 30 days after Leidos QTC sends an invoice to Client. The Client shall be responsible for all costs of collection for late/delinquent payments, including reasonable attorneys' fees.

4. Confidentiality

Leidos QTC is committed to maintaining the confidentiality of all information provided by the Client and the referred individual. All data will be handled in accordance with applicable privacy laws and regulations.

5. Data Ownership and Processing

The Client retains full ownership of all data provided to Leidos QTC in connection with referrals and services ("Client Data"). As such, the Client is the data owner or controller and Leidos QTC is the data processor of Client Data under applicable data protection and breach notification laws.

Leidos QTC has a Privacy Policy available here that explains how we treat personal data and protect privacy when you use our Services. By using our Services, you agree that Leidos QTC can use Client Data in accordance with the privacy policy.

6. Liability

To the fullest extent permitted by law, Leidos QTC's total liability for any and all claims, losses, or damages arising out of or relating to its services or these Terms shall not exceed the amount of fees paid by the Client to Leidos QTC for the specific service giving rise to the claim. In no event shall Leidos QTC be liable for any indirect, incidental, special, consequential, or punitive damages. This limitation of liability does not apply to damages resulting from Leidos QTC's gross negligence or willful misconduct.

The Client agrees to indemnify, defend, and hold harmless Leidos QTC, its affiliates, officers, employees, and agents from and against any and all claims, liabilities, damages, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) the Client's breach of these Terms; (b) any information provided in a referral; or (c) any claim by a referred individual, except to the extent caused by Leidos QTC's gross negligence or willful misconduct.

7. Referral Submission

7.1 Referrals must be submitted through Leidos QTC’s designated channels (e.g., email, online portal, or phone).

7.2 The Client represents and warrants that it has provided accurate and complete information regarding the referred individual and has obtained all necessary rights, permissions, and consents from such individual to provide their information to Leidos QTC for the purpose of receiving the services.

8.Termination

8.1 Leidos QTC reserves the right to terminate services at any time if: (a) the Client fails to comply with these Terms, including failure to make timely payment; (b) the referred individual or case is deemed unsuitable for Leidos QTC's services; or (c) Leidos QTC elects to terminate the services for any other reason in its sole discretion. 

8.2 Upon any termination of the Services or these Terms: (a) Client shall promptly pay all amounts then due and owing, including all undisputed invoices outstanding as of the effective date of termination; (b) Client shall pay for all Services performed up to the effective date of termination. Termination does not relieve Client of any payment obligations accrued prior to the effective date of termination. 

8.3 The Client may terminate any pending Services pursuant to these Terms at any time by providing written notice to Leidos QTC. Upon such termination: (a) Client shall remain responsible for payment of all Services performed through the effective date of termination; and (b) any pending referrals not yet scheduled shall be cancelled without further obligation to either Party, except for any fees already incurred.

9. Dispute Resolution

Any dispute, claim, or controversy arising out of or relating to these Terms or the services provided shall be determined by mandatory, binding arbitration in Philadelphia, Pennsylvania. The arbitration shall be administered by the American Arbitration Association (AAA) pursuant to its Commercial Arbitration Rules. The prevailing party shall be entitled to recover its reasonable attorneys' fees and costs.

10. Amendments

Leidos QTC reserves the right to update or amend these Terms of Service at any time. Updates will be posted publicly on Leidos QTC’s website, and continued use of Leidos QTC’s services constitutes acceptance of the updated Terms.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Pennsylvania, without regard to its conflict of law principles. 

12. Order of Precedence

In the event of any conflict or inconsistency between these Terms and any contract or contracts separately executed between Client and Leidos QTC (each, an "Executed Agreement"), the terms and conditions of the Executed Agreement shall govern and take precedence over these Terms to the extent of such conflict or inconsistency. These Terms shall remain in full force and effect with respect to any matters not addressed or inconsistent with an Executed Agreement.
